1. Who runs the site
The website https://ugla.ua (the “Site”) is owned and run by MOI Tech LLC (ТОВ «МОІ ТЕК»), the developer of UGLA ERP, 5B Baseina Street, Kyiv, 01024, Ukraine (the “Company”, “we”). UGLA for HoReCa is provided by MOVI TECH LLC (ТОВ «МОВІ ТЕК»), 26 Obolonskyi Avenue, office 402, Kyiv, 04205, Ukraine. Both companies are certified to ISO/IEC 27001:2022 and ISO 9001:2015.
Contacts: sales@ugla.ua, +38 067 337 18 50. Questions about personal data and these Terms: the data protection officer, dpo@ugla.ua.
2. What these Terms cover
These Terms set the conditions for using the Site for everyone who opens it (the “User”). By opening and using the Site, the User agrees to these Terms. If you do not agree with them, please do not use the Site.
The Terms cover the Site only. The use of UGLA ERP is governed by a separate agreement between the Company and the client; where they differ, the agreement prevails.
The Site is meant for companies and entrepreneurs choosing an accounting and management system, and for their representatives.
3. Information on the Site and prices
The information on the Site, including descriptions of features, examples, savings estimates and prices, is for reference and is not a public offer within the meaning of Article 641 of the Civil Code of Ukraine. The final terms, scope and price are set by a commercial proposal or an agreement.
Prices depend on the region the User chooses and are shown with or without taxes, as stated next to them. We may change prices and the terms of offers; an offer runs for the period stated next to it.
Blog posts reflect the situation on the date they were published. We take care that the information is accurate, but do not guarantee that it is complete and current at every moment.
4. The demo request and booking
With a demo request the User gives a name, an e-mail, a phone number (optional), the company's name and number of locations, and the Site adds the page the request came from and the campaign tags of the link, if there were any. These are needed to contact the User, run the demo and prepare a proposal.
Booking a time goes through Calendly (Calendly LLC), which loads only when the User moves on to booking or opens the demo page. What the User has already entered on the Site is passed to Calendly, so it need not be typed twice. Calendly's own terms and privacy policy also apply to the booking.
The User confirms that the details given about themselves are true and that they may give their company's details.
5. Personal data
The Company processes personal data under the Law of Ukraine “On Personal Data Protection” and, for people in the European Union, also under the EU General Data Protection Regulation (GDPR). How exactly is set out in the Privacy Policy (https://ugla.ua/en/trust/documents/privacy-policy).
The details of a request are processed to answer it, that is, to take steps at the User's request before entering into an agreement, and are kept for as long as that purpose or the law requires. We do not sell personal data.
The User may ask which of their data we process, have it corrected, ask for it to be erased or its processing restricted, object to the processing and withdraw consent where the processing relies on consent. Send requests to the data protection officer at dpo@ugla.ua. The User may also complain to the Ukrainian Parliament Commissioner for Human Rights or, in the EU, to the data protection authority of their country.
6. Cookies and third-party services
The Site sets necessary cookies of its own: ugla_region remembers the chosen region (prices and integrations) for a year, ugla_consent remembers the cookie choice for six months; a link's campaign tags are kept in the browser's memory until the end of the visit, to pass them on with a request.
Third-party services load only on the User's action: Calendly when they move on to booking, YouTube (in its youtube-nocookie.com mode) when they press play on a video. Analytics (Google Analytics) and advertising (Google Ads, Meta) load only with the consent given in the cookie banner, which can be changed under "Cookie settings" at the bottom of every page. In detail: the Privacy Policy, section 11 (https://ugla.ua/en/trust/documents/privacy-policy).
7. Intellectual property
The texts, images, screenshots, videos and design of the Site, and the UGLA name and mark, belong to the Company or are used by it lawfully. Other trademarks on the Site belong to their owners.
The User may view the Site, download the published documents to evaluate UGLA and quote passages with a link to ugla.ua. Search engines and AI assistants may index the Site within its robots.txt. Any other use, including copying the Site or parts of it for commercial purposes and altering its materials, needs the Company's written consent.
8. Acceptable use
The User must not:
- interfere with the Site or load it excessively, including with automated requests beyond its robots.txt;
- try to access the Site's administration, other people's data or the Company's systems;
- place or transmit malicious software;
- send spam, false details or other people's details without their consent through the Site's forms.
The Company may restrict access to the Site for anyone who breaks these rules.
9. Security and vulnerability reports
The Company works under an integrated management system certified to ISO/IEC 27001:2022 and ISO 9001:2015. If you notice a vulnerability of the Site or a possible data leak, report it to dpo@ugla.ua; we will reply, and we will take no action against anyone who reports in good faith and does not exploit the vulnerability.
10. Links to other sites
Links to third-party sites (for example, publications, partners, the certificate registry) are there for convenience. The Company is not responsible for the content and rules of those sites.
11. Liability
The Site is provided “as is”. The Company does what is reasonable to keep it working without interruptions and errors, but does not guarantee it, and may change, suspend or remove parts of it.
To the extent the law allows, the Company is not liable for losses caused by using the Site or being unable to use it, or by decisions taken on the Site's information alone without an agreement. Nothing in these Terms limits any liability that the law does not allow to be limited.
12. Requests and disputes
Send requests about personal data and these Terms to the data protection officer at dpo@ugla.ua, and other questions to sales@ugla.ua. Say how to address you and where to reply. We answer in substance within 10 working days; if a question needs longer, we will say so within that time.
Disputes about the Site are settled by negotiation and, failing agreement, in court under the laws of Ukraine. These Terms are governed by the law of Ukraine; people in the EU keep the rights that the law of their country does not allow them to lose.
13. Changes to the Terms
The Company may change these Terms. A new edition applies from the date shown at the top of the page; we will announce material changes on the Site. These Terms are published in Ukrainian and English; where they differ, the Ukrainian text prevails.
